1 NAME

1.1 The name of this club shall be Wycombe 50 Plus, hereafter referred to as the Club.

2 OBJECTIVES

2.1 To benefit members socially and enable them to enjoy physical activity and recreation.

3 MEMBERSHIP

3.1 Membership of the Club shall be made through annual subscription and only available to persons 50 years of age and over.

3.2 In addition to the ordinary membership class, Honorary Life Membership may be granted to members who have made a significant input or service to the Club. The Committee of the Club shall have sole discretion in the granting of such Honorary Life Membership.

3.3 The Committee of the Club shall have the power to cancel membership of any members for acting in a manner considered by the Committee as contrary to the interests of the members and/or the Club. Such a member shall have the right of appeal to a general meeting of the Club.

3.4 From 1 October 2021 anyone attending 50 Plus (to be replaced by social activities), must be a fully paid-up member of the Club.

4 SUBSCRIPTIONS

4.1 Subscriptions to the Club will comprise a renewable annual subscription.

4.2 The rates of subscriptions shall be proposed and approved at the preceding Annual General Meeting and renewals shall be due annually on the 1st October.

4.3 Renewals must be made from 1st October to 30th November each year.

5 ANNUAL GENERAL MEETINGS

5.1 The Club shall hold its Annual General Meeting, at such time and place as may be determined by the Committee. The Committee shall give four weeks minimum notice of the date, place and time of the Annual General Meeting, by notice, including an agenda, displayed on the Club notice board. The business of this meeting shall include the adoption of the minutes of the previous Annual General Meeting, receiving annual reports from the Chairman, Membership Secretary and Treasurer and the formal election of the new Committee. Twenty-five members of the Club shall form a quorum at such meetings.

5.2 The Annual General Meeting shall, from the formal proposed and seconded nominations, specifically elect the Chairman, Secretary and Treasurer together with nine other Committee members.

5.3 Notice of any resolution to come before the Annual General Meeting shall be sent to the Secretary not less than 14 days before the Meeting together with the name of the proposing and seconding members.

5.4 Members of the Club present at an Annual General Meeting shall be entitled to one vote. No provision is made for voting by proxy. 

5.5 All meetings other than Annual General Meetings shall be called Extraordinary General Meetings. Such a meeting may be convened at any time by the Secretary on receipt of a requisition signed by at least twenty-five members, stating the business to be transacted. The Secretary shall give at least 14 days notice of the time and place for every Extraordinary General Meeting, where the voting provisions, given in clause 5.4, together with the quorum requirement of twenty-five members of the Club, given in clause 5.1, shall apply.

6 THE COMMITTEE

6.1 All the affairs of the Club shall be managed, approved and controlled by a Committee annually elected from the membership of the Club comprising a Chairman, Secretary, Treasurer, Membership Secretary, Equipment Officer and seven Club members.

6.2 At the first Committee Meeting following the Annual General Meeting the elected members of the Committee shall elect a Membership Secretary, an Equipment Officer and other posts they may deem necessary from among their number. The Secretary shall advise members of the result of the Committee elections by notice on the Club notice board.

6.3 Representative(s) of the Sports Centre Staff, nominated by the Management of the Wycombe Leisure Centre, may additionally be included in this Committee but have no voting powers.

6.4 The Social Committee (as a sub-group of the Main Committee) has responsibility for initiating, organising and managing the Club’s social activities/events on behalf of the Main Committee. Winding up of the Committee may be by written order of the Main Committee, who will direct the Committee on the disposal of any assets. 

6.5 The Committee may co-opt Club members as representatives of other approved groups of the Club, to attend Committee Meetings, but have no voting powers.

6.6 The Committee shall meet not less than four times a year, decide its own procedure and be free to set up or close subcommittees, decide their terms of reference and have powers to fill any casual vacancies which may arise. Seven of the total voting memberships of the Committee shall constitute a quorum.

6.7 The Chairman, Secretary or Treasurer may not serve in the designated post, for more than four consecutive years, unless specifically extended yearly by majority vote at the AGM.

6.8 Club Rules shall be established, maintained and enforced by the Committee. 

6.9 The Committee will consider any written proposal raised by a member, group of members, or the Committee itself. The Committee will examine the proposal and either accept or reject it, explaining their reasoning in writing.

6.10 If twenty-five or more written objections are received from Club members, the matter will be resolved by a majority vote at an Extraordinary Meeting, convened and notified by the Secretary. The voting and quorum provisions given in Clause 5.5 will be applicable. 

6.11 Circumstances may necessitate immediate implementation of measures by the Committee, which shall not affect the right of members to make objections, excepting, the cancellation of membership under clause 3.3, or instructions of the Sports Centre Management.

7 ACCOUNTS

7.1 The Committee shall cause true account to be kept of assets and liabilities, income and expenditure.

7.2 At the Annual General Meeting the Committee shall produce an Audited Statement of Accounts for the previous financial year ending 31st December.

7.3 The Treasurer shall give comprehensive financial reports to the Committee at committee meetings.

8 AMENDMENT AND RULES

8.1 No amendment shall be made to this Constitution except at an Annual General Meeting.

9 DISSOLUTION

9.1 In the event of dissolution of the Club, equipment assets shall be sold by auction to members of the Club. Auction sale proceeds, together with any surplus funds, shall be donated to one or more registered Charities with restriction, at the sole discretion of the Committee.
